• Regulatory compliance issues on a wide range of topics, including consumer lending laws, appealing CAMEL Rating determinations to the National Credit Union Administration (NCUA), developing solutions to unique and novel issues facing clients in conjunction with the NCUA and writing numerous legal opinions.
• Designing and implementing loan participation/purchase/sale programs, including drafting master contracts, contract review, due diligence, establishing internal governance policies and procedures and addressing related issues
• Developing, drafting and assisting with the implementation of internal governance policies and procedures, including presentations to the Board of Directors
• Developing, drafting and assisting with the creation of Credit Union Service Organizations (CUSO), including those designed to address highly unique regulatory and compliance issues
• Involvement with substantial commercial loan programs, including due diligence, drafting, negotiation of subordination agreements and other related issues
• Supervising outside counsel across the country on various collection and real estate matters
• Developing, drafting and leading the amendment process for charter documents
• Lead Counsel for Credit Union Mergers
• Reviewing, drafting and negotiating SaaS, cloud computing, core system contracts and consumer privacy protection policies and programs
